What You’ll Do About the Team You’ll lead CoreWeave’s global Equity Operations function, partnering closely with Legal, Finance, Accounting, and People teams to ensure our equity programs scale with precision, compliance, and an exceptional employee experience. This team plays a crucial role in supporting a rapidly growing, publicly traded company operating in a complex global environment. About the Role In this role, you will own the strategic and operational execution of all equity compensation programs while leading and developing a team of Stock Administrators. You’ll oversee day-to-day equity administration, ensure regulatory compliance, and act as the company’s subject-matter expert on equity matters. As CoreWeave continues to scale, you’ll build and optimize the systems, processes, and infrastructure needed to support global growth, public-company requirements, and M&A activity. This is a highly visible role that partners closely with senior leadership to deliver accuracy, clarity, and confidence across all equity programs. Key Responsibilities Own the day-to-day administration of all equity platforms, plans, and awards, including grants, vesting, mass issuances, delegending, sales, gifts, transfers, and ESPP activity. Lead, mentor, and develop a high-performing team of Stock Administrators, driving operational excellence and accuracy. Build and scale equity processes, systems, and controls to support a global, publicly traded company, including compliance with SEC, IRS, audit, SOX, and foreign equity requirements. Serve as the company’s equity plan expert, providing strategic guidance to Legal, Finance, Accounting, People, and executive leadership. Support all equity-related components of M&A activity, including due diligence, merger consideration, mass issuance spreadsheets, legending and delegending, communications, and post-close integration. Partner with Legal and Accounting to support equity and cap table reporting, including 83(b) elections and SEC disclosures (Forms 3, 4, 5, 10-K, 10-Q, 8-K, proxy statements, and registration statements such as S-1, S-3, and S-4). Maintain and optimize equity systems and cap table accuracy, including ownership of Equity Edge Online (E*TRADE) and Computershare platforms and conducting regular audits. Provide equity data, analysis, and insights for compensation strategy discussions, board materials, and committee presentations. Own and evolve employee equity education, communications, and tools to drive understanding and engagement across the organization. Who You Are Bachelor’s degree in Finance, Accounting, Business, or a related field. 10+ years of progressive experience in equity compensation, including 5+ years managing and leading teams. Demonstrated expertise in administering equity programs at a fast-growing public company, including IPO experience. Proven mastery of Equity Edge Online (E*TRADE) and Computershare platforms. Deep technical knowledge of equity compensation vehicles (ISOs, NSOs, RSUs, PSUs, ESPP) and accounting under ASC 718. Extensive experience supporting SEC reporting, IRS requirements, audits, SOX compliance, M&A transactions, and foreign equity compliance. Strong project management capabilities with a track record of executing complex initiatives at scale with precision and accuracy. Preferred Master’s degree in a related field. The starting salary will be determined based on job-related knowledge, skills, experience, and market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).
